If you're talking about Angeal when he transforms, then all you need to do is attack him from behind, then dodge out of the way as he does his lightning attack, then attack him from behind again.

Hit him with assault strike from behind then dodge, equip items that lessen lightning damage. Equip a phoenix down and your good to go. :D
