This is probably the most asked question, and no one seems to know the real answer.
But it's pretty simple, actually. To get Magnet and all the upgrades:
Magnet: defeat Oogie Boogie in Halloween Town;
Magnara: defeat the Grim Reaper in Port Royal;
Magnega: defeat Xigbar in The World That Never Was;

What Vasco said was right but I'll tell you how I got it. If atlantica is open that means that the other world next to it is open as well. This world should be port royal. Now I'm not sure if you could beat the grim reaper at this time I think it may be on a second trip there that that should happen. Of course I could be wrong but you know everyones not perfect. So what I did is I defeated the port royal world and then two other worlds opened up: Halloween town and Agrabah. So I'm sure you guessed it already that I beat oogie boogie. So yeah thats how I got it. Btw Vasco I just wanna say that you rock!!!! You helped me alot when I was playing this game!!!
Forgot to mention that either way it goes you have to get the other spells cause a certain world loves to kick you out after every chapter is over and tells you to get something. I mean seriously!!! Atlantica kicks you out every time to search for a spell or get stronger.... Why does it do that I want to know. Anyway, after you do the "groceries" as I call it it'll tell you a new story is added.
NB: In Kingdom Hearts 2, in Atlantica, you'll need:
Magnet, Drive Gauge 5 and Magnera - if you don't have these you'll et kicked out of Atlantica.
Magnet: Degeat Oogie Boogie in Halloween Town part 1.
Drive Gauge 5: Level up as hard as you can, and recieve Oathkeeper (Replica of Roxas's Light Keyblade in Twilight Town).
Magnera: In part 2 of Port Royal, defeat the Heartless that causes Cpt. Jack Sparrow being normal.
