Up-grade is given to you be Prof. Oak after getting the National Dex. After you talk to him at Pal Park, he will say he is staying in Eterna City. He is in the house west of the Gym. The Dubious Disc is found on Route 225

For both items, you need to beat the E4 and have obtained the National Dex.
Up-Grade: talk to Prof. Oak in Eterna City [his house is the most southwestern house in there]. He'll give you the Up-Grade.
Dubious Disc: found somewhere on Route 225.
