How do I get gray fox's cowl ?and if I have to kill him where is he?

You can achieve the Cowl from completing the entire Thieves Guild Quest chain.

Join the thieves guild and complete all the quests for it. After the last quest, Gray Fox will hand over his leadership of the guild to you and give you his cowl.
Easiest way to join the thieves guild if you don't know how is to get arrested in the imperial city. Best to commit a minor crime. Like punching a guard or stealing some bread. After you have served your time, wait around the imperial city and eventually a dark elf will approach you and give you a letter.
Another way to get accepted (adding onto Chappie269's Answer) is too be VERY nice to beggars, mostly the ones in the Waterfront. For example giving them lots of gold.
A few ways to get the gray cowl.....1. Become the gray fox by releasing the curse on the cowl through a series of difficult infiltrations...and receive it as a reward....2. The "permanent bound item" cheat on a helmet and the "reverse pickpocket" cheat allows you to steal it from him...but you would still need to join the thieves guild....(3...?). I havent tried killing him but my guess is hes "important" and cannot be killed by conventional methods you could always try it and lemme know how that went lol
Lol, no you don't have to kill him, just complete all the Thieves Guild missions.
